Item 8.01 Other Events

In a Current Report on Form 8-K filed on July 28, 2010, AMN Healthcare Services, Inc. (“AMN”) announced its entry into an Agreement and Plan of Merger (the “Merger Agreement”) to acquire NF Investors, Inc., parent company of Nursefinders, Inc. (dba Medfinders).

On August 26, the Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to the Merger Agreement. The proposed merger transaction remains subject to other customary closing and financing conditions, including those described in the July 28 Current Report on Form 8-K. Subject to these conditions, the closing of the merger is expected to occur on September 1, 2010.
